Little Hills Youth Archery Separation Agreement

 

The coordinators of Little Hills Youth Archery (LHYA) would like to bring this agreement forward for a vote of the General Membership of the St. Louis Bow Hunters (SLBH) in order to release LHYA from the governance of SLBH and establish a new partnership as a tenant entering a rental agreement for use of the facility.  Here are the terms of the agreement.

 

  1. LHYA will become a Non-Profit 501c3 organization in September of 2019, will no longer be governed by the SLBH By-Laws. There will no longer be an LHYA voting chairperson on the SLBH Executive Board.

  2. All funds currently held in the LHYA account (currently over $14,000.00)  will be transferred into the SLBH treasury and the LHYA account managed by SLBH will be closed.

  3. All youth archery equipment has been assessed to be worth $4,500.00.  LHYA will purchase all equipment from SLBH in 2 payments. $2,250.00 paid in September of 2019 and $2,250.00 paid in January of 2020.  

  4. As part of the rental agreement, LHYA will continue to have access to the storage closet for their equipment and the target room to store their targets

  5. The rental agreement will include 6 classes in the Fall beginning in September and 6 classes in the Winter beginning in January.  Each class will be 8 weeks long. Here is the class schedule

    1. Tuesday 1:00pm - 2:30pm

    2. Saturday 9:00am - 10:30am

    3. Saturday 11:00am - 12:30pm

    4. Saturday 1:30pm - 3:00pm

    5. Saturday 3:30pm - 5:00pm

    6. Sunday 4:30pm - 6:00pm

  6. The range rental fee will be set at $50.00 per hour.  Each session rental fee will total $3,600.00. LHYA will pay $3,600.00 at the beginning of each session for a total annual revenue to SLBH of $7,200.00.

  7. The fall of 2019 rental fee has already been satisfied prior to this arrangement.  First payment of $3,600.00 will be in January of 2020.

  8. Any additional events that LHYA would like to host such as tournaments or special events will be handled on a case by case situation by way of a separate rental agreement with SLBH

  9. In exchange for a 10% discount on the range rental fee, LHYA will require all students to become a member of SLBH.

  10. In a gesture of good faith, LHYA is donating the new bow rack to SLBH which is valued at $500.00.

  11. If approved by the General Membership, LHYA will work with SLBH Executive Board to finalize details of the rental agreement such as terms and protections.

  12. Both entities will continue a promotional partnership.  LHYA will continue to advertise SLBH events through multimedia outlets.  SLBH will reciprocate. SLBH Executive Board member will be invited to LHYA classes to promote SLBH events and advocate for LHYA students’ continued participation in archery events.

  13. SLBH will retain the ability to schedule special events so long as they provide LHYA two (2) weeks notice of an event being scheduled in place of a regularly scheduled LHYA class.

  14. LHYA and SLBH will pursue a long term agreement so long as it fits within the purview of the SLBH By-Laws.  The agreement still to be finalized will include annual range rental fee increase percentages, re-negotiation period and period of re-evaluating scheduling needs.  

  15. The Orchard Farm High School Archery Team will not be included in this agreement and will continue their current arrangement of paying the standard open shoot rate on Friday evenings between 4:00pm and 6:30pm

 

With approval of the SLBH Executive Board, this separation agreement will be proposed to the SLBH General Membership for a vote of approval at a General Membership Meeting to be held in August 21, 2019.  If approved, the SLBH By-Laws will be ammended to remove the LHYA Chairperson and any governing details regarding LHYA.
